Service Agreement for “Remote Testimonial Videos”
By signing up for our Remote Testimonial Videos service, you agree to the following terms and conditions. These terms outline the rules and regulations for using our services. Please read them carefully.
1. Introduction
1.1 Parties Involved
- Service Provider: Shak Studios
- Client: The business entity that subscribes to our services.
1.2 Description of Service
- “Remote Testimonial Videos” is a service designed to assist businesses in capturing and creating testimonial videos through an automated, AI-driven process.
2. Definitions
2.1 “Client” refers to the business entity that has entered into this agreement with Shak Studios. 2.2 “Client’s Customer” means the customers of the Client who participate in creating video testimonials through our platform. 2.3 “Video Collector” is a web-based URL, branded for the Client, through which video testimonials are collected from the Client’s Customers. 2.4 “Response” refers to a single instance of a Client’s Customer engaging with the AI interviewer and providing a video testimonial. 2.5 “AI Collector” is the artificial intelligence interviewer that interacts with the Client’s Customers to facilitate the collection of video testimonials. 2.6 “Portal” is the online interface provided by Shak Studios where the Client can access, view, and download video responses and edited videos. 2.7 “Package” refers to the specific tier of service selected by the Client, which determines the number of responses, video edits, and other services included.
3. Services Provided
3.1 Remote Testimonial Videos
- Shak Studios provides an automated service that enables the Client’s customers to provide video testimonials through an AI-driven interview process. The service includes a custom-built AI interviewer, a low-friction Video Collector link, access to raw testimonial footage, professional video editing services, and other support services outlined in the chosen package.
3.2 Package Options and Pricing
- Starter Package: $199/month, includes 60 testimonials collected, 2 professionally edited videos, and other features.
- Business Package: $599/month, includes 120 testimonials collected, 6 professionally edited videos, and other features.
- Enterprise Package: $1099/month, includes 180 testimonials collected, 12 professionally edited videos, and other features.
4. Client Responsibilities
4.1 Accurate Information
- The Client warrants that all information provided to Shak Studios is accurate, complete, and up-to-date.
4.2 Compliance
- The Client agrees to comply with all applicable laws, rules, and regulations in connection with the use of our services.
5. Payment Terms
5.1 Payment Schedule
- The Client agrees to pay the monthly subscription fee corresponding to the selected package. Payments are due at the beginning of each billing period.
5.2 Taxes
- All amounts payable by the Client are exclusive of all sales, use, value-added, withholding, and other taxes or duties. Any taxes required to be paid by Shak Studios will be charged to the Client.
6. Cancellation and Refund Policy
6.1 Termination
- The Client may terminate their subscription at any time. Services will cease at the end of the current billing period.
6.2 30-Day Money-Back Guarantee
- If the Client is not satisfied with the service within the first 30 days, they are eligible for a full refund.
7. Data and Privacy
7.1 Data Retention
- Shak Studios will retain the Client’s data for three months after deactivation. The Client can access their data during this period. After three months, Shak Studios reserves the right to delete all Client data from its systems.
- Both parties agree to maintain the confidentiality of any proprietary or confidential information received from the other party.
7.1 Retention of Data
Upon deactivation of the Client’s account, Shak Studios will hold the Client’s data for a duration not to exceed three months. The Client will have access to their data throughout this retention span. After this period, Shak Studios may, at its discretion, elect to remove all stored Client data from our systems. Additionally, Shak Studios reserves the right to retain selected data, which may include video testimonials or other materials, for use in promotional activities. Such promotional usage will be conducted in a manner that is consistent with our Privacy Policy and will respect the confidentiality agreements in place. Clients will be informed of any such intended promotional use and will have the option to opt-out or request specific data not be used for these purposes.
7.2 Preservation of Confidentiality It is mutually agreed upon by Shak Studios and the Client that any information deemed proprietary or of a confidential nature that is exchanged between the two entities shall be treated with utmost discretion and confidentiality.
In addition, it is under the Client’s Customer’s obligation to ensure that no confidential data is inadvertently disclosed during the testimony recording session. It is incumbent upon the Client’s Customer to affirm the legality of their disclosure regarding any information divulged throughout the interviewing process.
By providing their a testimonial response, the Client’s Customer is implicitly authorizing the Client to use the recorded content for promotional purposes. It is incumbent upon the Client’s Customer to validate the legality of their disclosures and ensure they possess the requisite permissions for all information imparted during the interview process.
Should the Client or the Client’s Customer identify any sensitive content that necessitates exclusion from any distributed media, such a request should be promptly communicated to Shak Studios via electronic mail at support@shakstudios.io, upon which timely action will be taken to rectify the matter in accordance with the Client and Shak Studios’ mutual agreement on confidentiality.
8. Intellectual Property
8.1 Ownership
- All original content created by the Client’s Customers will be owned by the Client. Shak Studios retains ownership of all content and materials used to provide the service.
8.2 License
- Shak Studios grants the Client a non-exclusive license to use the edited videos and any related content provided by Shak Studios for promotional and marketing purposes.
9. Limitation of Liability
9.1 Limitation
- Shak Studios’ total liability arising out of or related to this agreement shall not exceed the total amount paid by the Client in the twelve months prior to the event giving rise to the claim.
9.2 Indemnification
- The Client agrees to indemnify, defend, and hold harmless Shak Studios from any claims, liabilities, damages, or expenses arising out of the Client’s use of the services.
10. General Provisions
10.1 Governing Law
- This agreement shall be governed by and construed in accordance with the laws of the jurisdiction in which Shak Studios is headquartered.
10.2 Amendments
- This agreement may only be amended or modified by a written document executed by both parties.
10.3 Entire Agreement
- This agreement constitutes the entire agreement between the parties and supersedes all prior agreements or representations.
